IMPORTANT NOTICE: PLEASE READ THESE TERMS OF SERVICE (“TERMS”) CAREFULLY. BY ACCESSING, BROWSING, OR USING THE WEBSITE WWW.CLOCKRE.COM (THE “WEBSITE”), OR BY UTILIZING ANY RESEARCH, DATA, OR SOFTWARE PROVIDED HEREIN, INCLUDING SIYAS ERP, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS IN THEIR ENTIRETY, YOU MUST IMMEDIATELY CEASE USING THIS WEBSITE AND ANY ASSOCIATED SOFTWARE.

These Terms constitute a legally binding agreement between you (the “User” or “Institution”) and Clock Research (“Company,” “we,” “us,” or “our”), operating out of Bihar, India.

1. ACCEPTANCE OF TERMS AND CAPACITY TO CONTRACT

By accessing the Website or deploying Siyas ERP, you represent and warrant that you are at least 18 years of age and competent to enter into a legally binding contract. If you are accessing the Website or software on behalf of a corporate entity, educational institution, or school, you represent that you possess the requisite, documented authority to bind such entity strictly to these Terms.

2. STRICT INTELLECTUAL PROPERTY RIGHTS AND PROHIBITION ON SCRAPING

2.1 Absolute Ownership: All content, including but not limited to educational research, school rankings, market forecasts, text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, computer code (specifically the Siyas ERP architecture), and data compilations (collectively, “Content”), is exclusively owned, controlled, or licensed by Clock Research and is fully protected by Indian copyright, patent, and trademark laws.

2.2 Prohibited Conduct: You are strictly prohibited from:

  • Using any “deep-link,” “page-scrape,” “robot,” “spider,” or other automatic device or algorithm to access, copy, acquire, or monitor any portion of the Website, Content, or software.
  • Reproducing, republishing, distributing, translating, or transmitting any Content for commercial enterprise without our express prior written consent.
  • Attempting to reverse-engineer, decompile, or disassemble any software available through Clock Research. Violation of this clause will result in immediate termination of access and initiation of civil and criminal proceedings under the Information Technology Act, 2000.

3. SOFTWARE DEPLOYMENT MODALITIES AND SEVERABILITY OF LIABILITY

3.1 Dual Deployment Acknowledgment: Clock Research provides the Siyas ERP software through two primary deployment modalities: (a) an Online Portal hosted on secure cloud infrastructure (the “Cloud Version”), and (b) locally installable software deployed directly on the Institution’s hardware (the “On-Premise Version”).

3.2 The Cloud Version (Online Portal): For Users accessing the Cloud Version, Clock Research acts as the data processor. We commit to maintaining commercially reasonable, industry-standard server security and uptime. However, access is strictly contingent upon the User’s own internet connectivity and local network stability, for which Clock Research bears zero responsibility.

3.3 The On-Premise Version (Installable Software): If the Institution opts for the On-Premise Version, a limited, revocable, non-transferable license is granted to install the software strictly on the Institution’s designated local hardware.

  • Absolute Disclaimer of Local Infrastructure: The Institution explicitly acknowledges and agrees that Clock Research exercises absolutely zero control over the Institution’s local hardware, operating systems, internal network security, firewalls, or physical premises.
  • Waiver of Data Loss Liability: Clock Research shall bear no liability whatsoever for any data loss, data corruption, unauthorized access, ransomware attacks, or hardware failures occurring on the Institution’s local infrastructure. The Institution is solely and exclusively responsible for maintaining its own daily data backups, localized anti-virus protections, and the physical security of the machines hosting the Siyas ERP software.

3.4 License, Not a Sale: Whether utilizing the Cloud Version or the On-Premise Version, the User acknowledges that Siyas ERP is licensed, not sold. The User acquires no ownership rights to the underlying source code or database architecture.

4. STRICT DATA PRIVACY, NON-DISCLOSURE, AND SECURITY

4.1 Absolute Prohibition on Data Sale: Clock Research treats all user and institutional data, including but not limited to student records, financial information, and administrative data inputted into Siyas ERP, with the highest degree of confidentiality. We strictly declare that we do not and will not sell, rent, lease, or monetize your data to any third party, marketing agency, or data broker under any circumstances.

4.2 Zero Third-Party Exploitation: Your data is exclusively used for the provisioning, maintenance, and improvement of the software and services you have contracted us for. Any engagement with third-party infrastructure providers (such as secure cloud hosting services) is strictly governed by rigid Non-Disclosure Agreements (NDAs) legally binding them to act solely as data processors.

4.3 Data Security and Acknowledgment of Inherent Risk: Clock Research deploys robust, industry-standard cryptographic protocols and stringent access controls to ensure data isolation. However, the User expressly acknowledges that no method of electronic storage or internet transmission is 100% impenetrable. We expressly disclaim absolute liability for data compromises resulting from sophisticated cyber-attacks, zero-day vulnerabilities, or events constituting Force Majeure, provided we have maintained commercially reasonable security standards in accordance with the Information Technology Rules, 2011.

5. DISCLAIMER OF WARRANTIES (THE “AS-IS” CLAUSE)

5.1 No Professional Advice: The research, data, and rankings published on the Website are for informational purposes only and do not constitute financial, legal, or professional business advice.

5.2 Absolute Disclaimer: THE WEBSITE, ITS CONTENT, AND SIYAS ERP ARE DELIVERED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS. CLOCK RESEARCH EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND DATA ACCURACY.

6. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE INDIAN LAW, IN NO EVENT SHALL CLOCK RESEARCH, ITS FOUNDERS, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION ARISING FROM YOUR USE OF THE WEBSITE OR SOFTWARE. In the event that a court of competent jurisdiction holds Clock Research liable despite this clause, our total aggregate liability for any cause whatsoever shall be strictly limited to the amount paid, if any, by you to Clock Research for the specific service giving rise to the claim in the one (1) month prior to the action, or INR 500 (Rupees Five Hundred Only), whichever is lower.

7. STRICT INDEMNIFICATION

You agree to aggressively defend, indemnify, and hold harmless Clock Research from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including strict legal and attorney fees) arising from your use of the Website, your deployment of the software, or your violation of any third-party right.

8. GOVERNING LAW AND EXCLUSIVE JURISDICTION

These Terms shall be governed by and construed strictly in accordance with the laws of India. You expressly agree that the competent courts located in Patna and Aurangabad, Bihar, India, shall have exclusive jurisdiction over any dispute, claim, or controversy arising out of or relating to these Terms, the Website, or Siyas ERP.
